These Terms of Use ("Terms") govern your access to and use of the website located at portco.app (the "Site"). The Site is owned and operated by 3 Streets Consulting, LLC, a Massachusetts limited liability company ("3SC," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

1. Ownership of Content and Intellectual Property

All content, information, text, graphics, images, data compilations, software, design elements, trademarks, logos, and other materials displayed on or available through the Site (collectively, "Content") are the property of 3SC or its licensors and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

PORTCO.APP is a trademark of 3 Streets Consulting, LLC. All rights reserved. All other trademarks, service marks, and trade names appearing on the Site are the property of their respective owners.

2. Limited License to Access

Subject to these Terms, 3SC grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, informational purposes only. This license does not include the right to:

  1. copy, reproduce, distribute, publish, display, perform, or create derivative works from any Content;
  2. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or organization of any software, technology, or systems underlying the Site;
  3. use any automated means — including bots, scrapers, crawlers, spiders, or other automated tools — to access, collect, harvest, or extract any Content or data from the Site;
  4. frame, mirror, or otherwise incorporate any portion of the Site into any other website, application, or service; or
  5. use the Site or any Content for any commercial purpose without 3SC's prior written consent.

3. No Implied Licenses

Nothing on the Site or in these Terms grants, by implication, estoppel, or otherwise, any license or right to use any Content, trademark, patent, or other intellectual property of 3SC except the limited access license expressly stated in Section 2. No license to reproduce, distribute, modify, publicly display, or create derivative works is granted or implied.

4. No Business, Advisory, or Fiduciary Relationship

Your use of the Site does not create any business, advisory, consulting, fiduciary, or professional relationship between you and 3SC. The Content on the Site is provided for general informational purposes only and does not constitute professional advice of any kind. 3SC is not acting as your advisor, consultant, or fiduciary by making this Site available.

5. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. 3SC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 3SC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, 3SC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF 3SC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL 3SC'S TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100).

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in the Commonwealth of Massachusetts, and you consent to the personal jurisdiction and venue of such courts.

8. Modifications

3SC reserves the right to modify these Terms at any time. Any modifications will be effective upon posting to the Site. Your continued use of the Site after any modification constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically.
